Everyday Health Announces Pricing Of Initial Public Offering

Everyday Health, Inc. (NYSE: EVDY) announced on March 27, 2014, the pricing of its initial public offering of 7,150,000 shares of its common stock at a price to the public of $14.00 per share. A total of 5,360,000 shares are being offered by Everyday Health, and a total of 1,790,000 shares are being offered by certain selling stockholders. In addition, the underwriters have been granted a 30-day option to purchase up to an additional 1,072,500 shares of common stock from Everyday Health. Everyday Health will not receive any proceeds from the sale of shares by the selling stockholders. The shares are expected to begin trading on the New York Stock Exchange onMarch 28, 2014 under the symbol “EVDY.” The offering is expected to close on April 2, 2014, subject to customary closing conditions.

J.P. Morgan Securities LLC, Credit Suisse Securities (USA) LLC and Citigroup Global Markets Inc. are acting as joint book running managers and representatives of the underwriters for the offering. Stifel and SunTrust Robinson Humphrey, Inc. are acting as co-managers.

A registration statement relating to these securities has been filed with the U.S. Securities and Exchange Commission and was declared effective on March 27, 2014.
